Case Note & Summary

The Supreme Court allowed the appeal filed by the State Bank of India against the High Court order that had refused to return original documents deposited in a pending recovery application before the Debts Recovery Tribunal (DRT). The dispute arose from a loan default by M/s. Rukmini Mills Ltd., for which Associated Trading Corporation Pvt. Ltd. stood as guarantor by mortgaging its property. The bank declared the account as NPA and initiated proceedings under the SARFAESI Act, taking symbolic possession in 2008. The guarantor challenged the possession notice but failed. In 2017, the bank conducted an e-auction of the secured assets, and M/s. Tripower Enterprises Pvt. Ltd. emerged as the highest bidder, paying over Rs.60 crores. A sale certificate was issued. Meanwhile, the bank had filed a recovery application (O.A. No. 11/2008) before the DRT, in which it had deposited original title deeds (Exhibits A110-A114). The bank sought return of these documents to hand over to the auction purchaser. The DRT rejected the application, holding that the validity of the mortgage was still in issue and returning documents would prejudice adjudication. The DRAT reversed, allowing return of documents subject to retaining photocopies. The High Court restored the DRT order. The Supreme Court held that the bank is entitled to return of the original documents. The Court noted that the SARFAESI proceedings are independent of the OA, and the sale to the auction purchaser has been completed. The bank needs the documents to fulfill its obligation to the auction purchaser. The validity of the mortgage can still be decided by the DRT using photocopies. The Court set aside the High Court order and restored the DRAT order, directing the DRT to return the documents to the bank within two weeks.

Headnote

A) Banking Law - Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002 - Section 13(4) - Return of Original Documents - The bank sought return of original title deeds (Exhibits A110-A114) deposited in a pending recovery application before DRT, after selling the secured assets in auction under SARFAESI Act. The DRT rejected the application on the ground that the validity of the mortgage was yet to be decided. The DRAT allowed the return, but the High Court restored the DRT order. The Supreme Court held that the bank is entitled to return of documents to hand over to the auction purchaser, as the sale under SARFAESI Act is independent of the OA and the validity of mortgage can be decided even without the originals. (Paras 1-10)

B) Civil Procedure - Debts Recovery Tribunal - Power to Return Documents - The DRT has the power to return documents deposited in a pending proceeding, especially when the bank needs them to fulfill its obligation to the auction purchaser. The mere pendency of an issue regarding validity of mortgage does not justify withholding the documents, as photocopies can be retained for adjudication. (Paras 6-9)

C) Banking Law - Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002 - Auction Sale - Rights of Auction Purchaser - The auction purchaser, who paid over Rs.60 crores, is entitled to receive the original title deeds. The bank's obligation to hand over documents arises from the sale certificate issued under SARFAESI Act, and the DRT cannot impede this by retaining documents in a pending OA. (Paras 4-5)

Nature of Litigation

Civil appeal against High Court order refusing return of original documents deposited in DRT proceeding.

Remedy Sought

The appellant (auction purchaser) sought return of original title deeds to the bank for handing over to it.

Filing Reason

The bank's application for return of documents was rejected by DRT and High Court; the auction purchaser appealed to protect its rights.

Previous Decisions

DRT rejected IA for return of documents; DRAT allowed it; High Court restored DRT order.

Issues

Whether the DRT can return original documents pending adjudication of validity of mortgage? Whether the High Court erred in reversing the DRAT order?

Submissions/Arguments

Bank argued that documents are needed to hand over to auction purchaser; sale under SARFAESI is independent; validity of mortgage can be decided using photocopies. Guarantor argued that return would prejudice adjudication of mortgage validity.

Ratio Decidendi

The bank is entitled to return of original documents deposited in a pending DRT proceeding to hand over to the auction purchaser, as the sale under SARFAESI Act is independent of the OA and the validity of mortgage can be adjudicated using photocopies. The DRT's power to return documents is not barred by pendency of issues regarding mortgage validity.

Judgment Excerpts

The bank is entitled to return of the original documents to hand over to the auction purchaser. The validity of the mortgage can still be decided by the DRT using photocopies.

Procedural History

The bank filed O.A. No. 11/2008 before DRT Madurai for recovery. The bank also initiated SARFAESI proceedings and sold secured assets in e-auction on 28.2.2017. The bank filed I.A. No. 995/2017 for return of original documents deposited in the OA. DRT rejected the IA on 9.11.2018. Bank appealed to DRAT Chennai (M.A. No. 90/2018), which allowed the appeal on 29.3.2019. Guarantor filed writ petition before Madras High Court (W.P. No. 11522/2019), which restored DRT order on 6.9.2019. Bank and auction purchaser appealed to Supreme Court.
