Case Note & Summary
The appellant, M/s. Sri Vethaa Dairy Private Limited, was the successful auction purchaser in the liquidation process of M/s. GHO Agro Private Limited, conducted by the Liquidator, Jayashree S Iyer. The sale was confirmed by the Adjudicating Authority (NCLT, Chennai) on 02.09.2024. Subsequently, the appellant filed an application (IA No. 2452/2024) seeking clarification of the sale certificate, specifically requesting that the date of handing over possession be mentioned. The Adjudicating Authority dismissed the application on 06.01.2025, leading to the present appeal under Section 61 of the Insolvency and Bankruptcy Code, 2016. The appellant argued that the sale certificate should reflect the date of possession to avoid future disputes. The Liquidator and the financial creditor (Punjab National Bank) opposed the appeal, contending that the sale certificate was issued after confirmation of sale and that the Liquidator had already handed over possession. The NCLAT examined the provisions of the IBC and the Liquidation Regulations and held that there is no requirement for the Liquidator to mention the date of possession in the sale certificate. The Tribunal noted that the sale certificate is a document evidencing the transfer of title, and any dispute regarding possession would be a separate matter. The appeal was dismissed on merits, though the delay of 14 days in filing was condoned.
Headnote
A) Insolvency and Bankruptcy Code - Liquidation - Sale Certificate - Clarification - The appellant, a successful auction purchaser, sought clarification of the sale certificate issued by the Liquidator, contending that the date of handing over possession should be mentioned. The NCLAT held that the sale certificate is issued after confirmation of sale and the Liquidator is not obligated to mention the date of possession. The application for clarification was rightly dismissed by the Adjudicating Authority. (Paras 1-11) B) Insolvency and Bankruptcy Code - Appeal - Condonation of Delay - The appeal was filed with a delay of 14 days. The NCLAT condoned the delay on the ground that the appellant had explained the delay satisfactorily, but dismissed the appeal on merits. (Paras 2-3)
Issue of Consideration
Whether the Liquidator was required to mention the date of handing over possession in the sale certificate and whether the auction purchaser was entitled to a clarification/modification of the sale certificate after confirmation of sale.
Final Decision
The appeal is dismissed. The impugned order dated 06.01.2025 passed by the Adjudicating Authority (NCLT, Chennai) in IA (IBC)/2452/CHE/2024 is upheld. The application for clarification of sale certificate was rightly rejected.
